Direct Mail Font License Agreement

Mail Font License Agreement Date__________

This agreement made this ____ day of _________, 20____, between vLetter, Inc., an Oregon corporation (hereinafter "vLetter") and _______________________ (hereinafter "Licensee"), is for the purpose of Licensee using vLetter's technology (hereinafter "handwriting") in a direct mail project (hereinafter "mailing").

The Grant
vLetter grants Licensee the right, under the terms and conditions of this agreement, to use vLetter-produced handwriting in a mailing.

License Fees
A license fee, the amount specified in the separate schedule "Direct Mail License Fees" or on the vLetter Direct web page, is payable for each instance of mailing using the handwriting. License fees are subject to change without notice; current Direct Mail License Fees schedules are available by contacting vLetter. Payment is due upon the first day of the mailing unless other arrangements have been made with vLetter.
An additional seed record must be added to the name list to be included in the print run with the following data: Customer Service, vLetter, inc., 509 Cascade, Suite H, Hood River, OR, 97031-9725

Database Conversions
If Licensee contracts vLetter to convert a database into handwriting for a mailing, the conversion is subject to additional fees specified in the separate schedule "List Conversion Prices". List Conversion Prices are subject to change without notice; current List Conversion Prices schedules are available by contacting vLetter or on the vLetter Direct web page. Payment is due upon completion of the database conversion unless other arrangements have been made with vLetter. The License Fee is applicable to each use of the converted database in a mailing.
A vLetter address record may be added to any database to allow vLetter to review the mailing and use of its products; Licensee may not remove this record from the converted database

Review
vLetter may review Licensee’s relevant business records upon reasonable request to assure compliance with this license agreement. In any litigation arising out of this agreement, the loser agrees to pay the reasonable attorney fees of the prevailing party as determined by the court. This license will be interpreted under the laws of the State of Oregon; venue for any legal action will be Multnomah County, Oregon.

Term
The term of this agreement is 6 months from the date of the agreement. If the mailing is not completed within the term, all pieces mailed after that date will be subject to the new license fees, if any.

This license supplements the product license received with delivery of the vLetter font product.
